    When is a JV liable?

This is a general question; When/in what cases is a joint venture liable for damages? breach of contract but what other examples?

Are you talking about what items to include in a contract in order to protect either party? Things to include are copyright (who owns what?), commission (what's the split, who have the access to account), length of agreement (how long will you split commission), operating cost (who pays the cost of outsourcing, hosting, etc.)?

    Hope that helps,
